Chatbase Experts Program Terms & Conditions

These Experts Program Terms & Conditions ("Experts Program Terms") govern participation in the Chatbase Experts Program("Experts Program"). By applying for, enrolling in, or participating in the Experts Program, you agree to be bound by these Experts Program Terms. These Experts Program Terms incorporate by reference the terms and conditions of Dub (available at: Dub Affiliate Terms of Service) to the extent applicable to tracking, referrals, or commissions.
TL;DR (Summary)
- In this document, the terms “Agency” and “Expert” are used interchangeably to refer to the entity accepted into the Chatbase Experts Program.
- Agencies create and sell agents to third-party clients, but may not use Chatbase for their own internal or personal use. To use Chatbase directly, agencies must use a separate personal workspace.
- Chatbase is not involved in agency pricing, contracts, or client disputes.
- Agencies earn a 30% commission for one year, only for new paying customers.
- Client-provided sources are private and may not be reused or resold without permission.
- Abuse or fraud can result in immediate termination and loss of all unpaid commissions, including those from prior sales.
- Agencies may call themselves a "Chatbase Expert", but may not claim verification or endorsement unless explicitly designated by Chatbase.
- Terms may change in the future, including commission percentage or paid access.
1. Definitions
- "Expert" or "Agency" means an individual or legal entity accepted into the Chatbase Experts Program.
- "Client" means a third party to whom an Agency sells or provides an agent.
- "Agent" means an agent created using the Chatbase platform.
- "Sources" means data, documents, or materials used to train or configure an agent.
- "Featured Agency" means an Agency that has been explicitly designated and publicly identified by Chatbase as an featured or endorsed agency.
2. Agency Role & Independence
Agencies operate as independent contractors. Nothing in these Experts Program Terms creates any partnership, joint venture, employment, or agency relationship between Chatbase and an Agency.
Chatbase is not a party to any agreement between an Agency and its Clients and takes no responsibility for pricing, billing, refunds, chargebacks, support, or disputes.
3. Use of the Chatbase Platform
3.1 Agency Workspaces
Agencies may use a designated agency workspace solely for creating and managing agents intended for resale or delivery to Clients. Agencies may not use the Agency workspace for their own internal or personal use. If an Agency wishes to use Chatbase directly, it must do so via a separate personal workspace within the same account.
3.2 Compliance
Agencies must comply with all applicable laws, these Agency Terms, and any referenced third-party terms, including Dub's terms.
4. Agent Ownership, Copying & Resale
4.1 Agent Copies
When an agent is sold or delivered to a Client, the agent is copied. As a result:
- The Agency retains its original agent copy.
- The Client receives an independent copy.
Agencies may resell the same agent structure or configuration to multiple Clients.
4.2 Client Sources
Sources provided by a Client:
- Remain private to that Client.
- May not be reused, resold, shared, or included in agents for other Clients without explicit permission from the original Client.
Agencies are solely responsible for ensuring proper authorization for all Sources used.
5. Commissions
5.1 Eligibility
Agencies may receive a 30% commission on payments made by a Client if:
- The Client was not already a paying Chatbase customer at the time of first payment; and
- The Client's subscription or purchase is properly attributed to the Agency.
5.2 Duration
The commission applies to all purchases made by the Client during the one (1) year period beginning from the Client's first payment. After the one-year period ends, no further commissions are earned.
5.3 Existing Customers
If a Client was already a paying Chatbase customer prior to the Agency's involvement, no commission is paid.
5.4 Dub Links Without a Sale
If an Agency shares a Dub referral link without selling an agent, the referral is treated according to our standard Dub affiliate program.
6. Abuse, Fraud & Enforcement
Chatbase reserves the right to investigate any suspected abuse, fraud, or misuse of the Experts Program. If abuse or fraud is determined, Chatbase may, at its sole discretion:
- Disable or terminate the Agency's participation in the Experts Program;
- Disable agent transfers;
- Withhold, cancel, or claw back any unpaid commissions, including commissions originating before the abusive or fraudulent activity.
Termination under this section does not limit Chatbase's other legal remedies.
7. Liability & Responsibility
Agencies are solely responsible for:
- The content, behavior, outputs, and performance of their agents;
- Compliance with laws and regulations applicable to their Clients;
- Any claims, damages, or disputes arising from their agents or services.
Chatbase makes no guarantees regarding agent outputs and assumes no liability for any use of agents created or sold by Agencies.
8. Branding & Representation
8.1 Agency Designation
Accepted participants may refer to themselves as a "Chatbase Expert."
8.2 Restrictions
Agencies may not:
- Claim to be "verified," "approved," or "endorsed" by Chatbase unless explicitly designated as an Featured Agency.
- Represent themselves as acting on behalf of Chatbase.
Only Agencies explicitly designated and publicly identified by Chatbase may be presented as endorsed or featured agencies, and only in the manner displayed by Chatbase.
9. Modifications to the Experts Program
Chatbase reserves the right to modify or discontinue the Experts Program at any time, including:
- Changing commission percentages;
- Introducing fees or paid access;
- Adjusting eligibility criteria or benefits.
Changes may apply prospectively and will be communicated through reasonable means.
10. Global Applicability
These Experts Program Terms apply worldwide, without geographic limitation, unless otherwise required by applicable law.
11. Acceptance
By participating in the Experts Program, you confirm that you have read, understood, and agreed to these Experts Program Terms.
